September 22, 2008 Update -Goodsill Anderson Quinn & Stifel A Limited Liability Law Partnership LLP (“Goodsill”) currently represents both Castle & Cooke, Inc. (“Castle & Cooke”) and Hawaiian Electric Company, Inc. (“HECO”) in separate and distinct legal matters.  Both Castle & Cooke, and its affiliates, and HECO, and its affiliates, are longstanding clients of Goodsill.  Castle & Cooke, itself or through one of its affiliated entities (which are jointly referred to as “Castle & Cooke”) is interested in submitting a proposal in response to the HECO Renewable Energy Request for Proposals (“HECO RE RFP”).  Goodsill has advised HECO with respect to matters relating to the Public Utility Commission’s Competitive Bidding Framework.  Goodsill discontinued working on the RE RFP project for HECO after submittal of the Draft RE RFP when it became clear that Castle & Cooke would actively participate in the RE RFP process and potentially submit a bid.

The purpose of this communication is to disclose to all interested persons that Castle & Cooke, on behalf of itself and its affiliates, has consented to Goodsill representing and advising HECO with respect to the HECO RE RFP Matters (as defined herein), and waives any claim that Goodsill is conflicted from its representation of HECO with respect to (1) the RE RFP process, including negotiation of PPAs resulting from the RE RFP process, (2) Docket No. 2007-0331, and any other dockets initiated to obtain approval of PPAs resulting from the RE RFP process or to review the RE RFP process (the “HECO RE RFP Dockets”) and (3) administration of the PPAs resulting from the process during the terms of such PPAs (all of which is collectively referred to herein as the “HECO RE RFP Matters”), except with respect to litigation and/or arbitration, if any occurred, between Castle & Cooke  and HECO with respect to such matters (“Adverse Litigation”).  Hawaii Public Utility Commission matters and appeals arising out of the HECO RE RFP Dockets will not be considered Adverse Litigation.  If there is Adverse Litigation, then Goodsill will not appear or function as litigation counsel for either party in such Adverse Litigation.  Goodsill has not provided any legal services to Castle & Cooke with respect to the HECO RE RFP Matters, nor has it been asked to do so.  Castle & Cooke has separate counsel for such matters.

HECO has requested that Goodsill continue to advise HECO with respect to the HECO RE RFP matters, because the group has (1) extensive experience working on power purchase and interconnection agreements, and related issues for HECO and its utility subsidiaries; (2) extensive experience with respect to competitive bidding, from its representation of HECO in the Electric Competition Docket, Docket No. 96-0493, and the Competitive Bidding Docket, Docket No. 03-0372; and (3) knowledge of the role and history of HECO's PPAs because of the extensive involvement of Goodsill in HECO's resource planning processes, such as integrated resource planning, and its renewable energy planning processess under the Renewable Portfolio Standards law.


September 18, 2008 Update - The RFP Appendix B Response Package Section 6 states that hourly wind data should be provided.  The data may be included electronically on CD's in lieu of hard copies.  The CD's with this information should be included with the hard copies of the proposal so that each proposal package is complete.  The preferred format for the Wind data is Excel.  If Excel is not possible, a text file would be satisfactory.  The file should include time/date stamp with descriptive column headings.

The redlined copy of the PPA requested in accordance with the RFP Appendix B Response Package Section 17 may also be submitted electronically on CD if bidders prefer.  One CD per complete RFP package as well.


September 4, 2008 Update - In accordance with Section 1.3 of the RFP, please find the attached cover letters transmitting the term sheets for each of the three grandfathered projects filed with the Commission on September 2, 2008.  The cover letters provide information on the scope of the project (i.e., technology, capacity, and location ) and the manner in which the energy is proposed to be delivered (i.e., as-available, scheduled).

August 7, 2008 Update - The deadline for submitting questions on this RFP is close of business on September 4, 2008.  Bidders are encouraged to submit any questions earlier to provide more time for the RFP team to prepare responses.

July 18, Update #2 - Bidders have contacted us requesting instructions on how to obtain a copy of the previous wind data collected by HECO in the Kahuku area.  Please see the attached link for more information on the November 2007 announcement of the availability of the first two CDs of Kahuku area wind data.  (link to site)

June 26, 2008 Update - Wind Development Potential on Oahu Hawaiian Electric Company, Maui Electric Company, the Hawaii Department of Business, Economic Development & Tourism and the U.S. Department of Energy’s National Renewable Energy Laboratory (NREL) previously funded a project to develop high-resolution wind resource maps for the islands of Oahu, Hawaii (Big Island), Maui, Molokai, Lanai, and Kauai.  These maps are available on HECO's Renewable Energy website. As follow-up to this work on the high resolution wind resource maps, AWS Truewind produced an estimate of the wind development potential of the Island of Oahu, Hawaii using a remote, desktop screening methodology.  The info can be found at: www.heco.com --> Renewable Energy --> Wind Maps (in left hand-side menu).  Or click here.


June 24, 2008, Update - HECO has scheduled a Bidder's Conference for Monday, July 14, 2008.  It will be held from 9:00 am - Noon in the HEI Training Room 2 located on the 8th floor of the American Savings Bank Tower in Honolulu, Hawaii.  The Bidder's Conference is being offered to assist potential bidders with understanding how to complete the RFP's Appendix B Bid Response Package.   Attendance is not required for participation in the RFP.  An agenda will be posted shortly.  Please RSVP by Monday, July 7, 2008 to genbid@heco.com with your name, title, and company.  A conference bridge line will be provided for those unable to attend.  For those planning to call in, it is especially important to RSVP to reserve a place on the bridge line since there is a limited number of parties that can be accommodated.

June 17, 2008 Update - HECO has submitted the following clarifications and revisions for incorporation into the RFP and Model PPA.  Hawaiian Electric agrees that the Commission should take sufficient time to review the RFP documents and would not object to an extension of time for the Commission's review of the RFP.

June 13, 2008 Update - Please be advised that HECO has filed corrections to the Proposed Final RFP and Model PPA.  The corrections include changes that HECO had previously agreed to make that were inadvertently left out of the documents that were submitted on May 19, 2008.  Nothing new has been added.  These corrections have been reviewed and have been concurred with by the Independent Observer (“IO”).  A corrected copy of the Proposed Final RFP dated June 2008 (including the Model PPA) is attached as Exhibit A.  Hawaiian Electric has also provided a redlined copy to show the corrections made as indicated above to the Proposed Final RFP (including the Model PPA).  (See Exhibit B.)

June 3, 2008 Update - This update is to inform interested parties that an error was found in Chart 2, RFP Schedule, on page 13.  The tentative date for the bidders conference should be early July 2008 (not 2009).  The correction will be incorporated into the final RFP.  Please note that the actual date may be subject to change depending on the RFP schedule and level of interest in the conference expressed by Bidders.

The Commission has issued Order No. 24170 in Docket No. 03-0372 setting a deadline of September 2, 2008 for HECO and the proposers of these grandfathered proposals to reach agreement on principle terms (term sheets).  The order is provided here.

March 14, 2008 - As requested by HECO in the Technical Conference on March 14, 2008, potential bidders were asked to please provide their comments to HECO and the Commission as soon as possible.  In order to facilitate having the Final RFP ready for submittal to the Commission by May 1, 2008, potential bidders are kindly requested to provide all comments on the Draft RFP by April 7, 2008 instead of the due date currently in the Draft RFP.  Please see attached update.  The April 7, 2008 due date will apply unless HECO posts another notice on this site by March 25, 2008.
